Welcome to TheFlow, your home for artist-first music streaming and healthy social media. These Terms of Service ("Terms") are a legally binding agreement between you and TheFlow Cooperative, Inc. ("TheFlow Cooperative," "we," or "us") that govern your use of our Service. The “Service” means our website, platform, mobile apps, artist tools, music streaming, community features, and any other service or product made available to you at TheFlow.com and mobile applications including TheFlow for iOS. We also refer to the Service as “TheFlow”.
By using TheFlow, you agree to these Terms, including any related policies referred to herein such as our Privacy Policy, Community Standards, DMCA & Copyright Policy. (If you are a Creator, these Terms also include the Creator Terms.)
These Terms govern all use of TheFlow. If you do not agree with these Terms, do not use the Service.
1.1 Who These Terms Apply To
These Terms apply to everyone who uses TheFlow. If you're listening, discovering music, following artists, posting content, browsing, or even simply accessing TheFlow for any other reason, you are a user subject to these Terms.
If you are an artist that wants to upload music, audio content, video or other artistic content, and promote and earn money through the platform, you must first become a member of Cooperative. You can find more information about our Cooperative here. As a condition of membership, members agree to be bound by our Articles of Incorporation and Bylaws, and the Creator Terms. Members are also referred to as “Creators” in these Terms.
1.2 Changes to these Terms
How we handle changes: We may update these Terms as TheFlow grows and evolves, at the Cooperative’s sole discretion. Unless we state otherwise, the changes are effective immediately when published here and apply to all aspects of the Service. Publishing changes constitutes notice to you. We may alternatively provide notice by email or a message to your account, at our discretion.
Continued use means acceptance: By continuing to use TheFlow after notice is provided to you constitutes an acceptance of such updated Terms.
Your options: If you don't agree with updated Terms, you can stop using the Service.

2. User Account Terms
2.1 Who Can Use TheFlow
Basic Eligibility
To create an account, you must:
Be at least 13 years old (or the minimum legal age in your jurisdiction of residence to use online services if higher than 13)
If under 18, have permission from a parent/legal guardian to agree to these terms
Comply with all applicable laws that restrict or govern online activity and relate to your use of the Service
Provide accurate information when creating your account and using the Service
Agree to these Terms
What You Can Do as a User
The details of the Service may change from time to time, and may include the following options for users:
Stream music from our catalog
Follow your friends and favorite Creators
Create and share playlists
Like, comment on, and share content
Subscribe to certain Creator artists' Backstage Pass content
Purchase digital downloads
In many instances, the availability of the foregoing may vary from Creator to Creator, as we permit our Creators to customize what they share and how.
2.2 Your Account Responsibilities
Account Security
You're responsible for:
Keeping your login credentials secure and confidential
All activity that occurs under your account, with or without your knowledge
Notifying us immediately if you suspect unauthorized access
Using only one account (no duplicate, alternate, or fake accounts)
Accurate Information
Provide truthful, current information in your profile. You may use a display name or handle that is different from your real name, but you cannot:
Impersonate the Cooperative, or another person or entity (e.g., if you are a fan account, you must be clear about that)
Use misleading information designed to deceive other users
Create accounts that violate others' intellectual property rights
Internet/Data Access
Signing up for the Service requires internet access. You are solely responsible for any and all internet access, including your means of access, and any data usage plan, mobile rates, and/or any costs or expenses incurred in connection with your access of the internet in connection with the Service. By using the Service, you agree that we are not responsible for that.
2.3 Subscription and Payment Terms
Free vs. Paid Access
TheFlow offers both free and paid listening options. Free access provides:
Browsing access for our complete library of music on The Flow including community playlists
3 free plays per track
Unlimited commercial-free, radio-style music listening of curated states, allowing 6 skips per hour
Social music player, allowing users to like, comment, and use Flowjis to interact
Paid platform monthly subscriptions ($10.00/month) provide all of the above, plus:
Access to the complete library of music on TheFlow without limitation on plays
Higher audio quality options
Offline listening capabilities (requires download)
Artist Backstage Pass ($3+/month per Creator, rate determined by Creator) provides:
Unlimited access to that Creator’s music
Knowing your supporting your Creator directly
Offline listening capabilities (requires download)
Individual Track Purchase ($1.50+, rate determined by Creator) provides:
High-quality download of purchased track
Payment Responsibilities
If you subscribe to any paid Services:
Payments process automatically through your chosen payment method
You're responsible for keeping payment information current
Subscription fees are non-refundable except where required by law
You can cancel your subscription at any time through your account settings, and must cancel subscription prior to the next renewal date to avoid being charged for the next full subscription period
Supporting Creators
When you subscribe to Creator’s Backstage Pass content or purchase downloads of a Creator’s tracks:
You are directly, financially supporting those Creators
All sales are final unless there's a technical error
Refund requests should be directed to our support team
2.4 Interaction & Contribution Guidelines
Engaging with Creators
TheFlow enables direct connection between fans and Creators on the platform. When interacting:
Be respectful and constructive in comments and messages
Respect Creators' boundaries and response preferences
Don't spam Creators with excessive messages or requests
User-Generated Content
TheFlow enables users to contribute to the platform, such as by creating playlists, writing reviews, and sharing content as such features are available from time to time. Your contributions must:
Comply with these Terms
Respect others' intellectual property or other rights
Not include spam, advertising, or inappropriate material
Not violate any international, federal, state, or local law or regulation (including those regarding (i) the export of data or software to and from the US or other countries, and/or (ii) endorsements of third parties)
Be your own original thoughts and expressions
Exploit, harm, or attempt to exploit or harm minors in any way by exposing them to inappropriate content, asking for personally identifiable information, or otherwise
Monitoring and Enforcement
We have the right to:
Remove or refuse to post any user contributions for any or no reason in our sole discretion
Take any action with respect to any contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such contribution violates these Terms, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of TheFlow or the public, or could create liability for the Cooperative
Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy
Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of TheFlow
Terminate or suspend your access to all or part of TheFlow for any violation of these Terms
The information presented on or through TheFlow is made available solely for general information purposes. We do not warrant the accuracy, completeness, or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to TheFlow, or by anyone who may be informed of any of its contents.
A significant amount of content that appears on TheFlow is provided by third parties, including materials provided by other users, bloggers, and others. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the content provided by the Cooperative, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of the Cooperative. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.
To be clear, we do not review user contributions before they are posted to TheFlow and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.
Similarly, we use the services and products of third parties, including without limitation payment processors (e.g., Stripe and Trolley) to support TheFlow. By engaging with TheFlow and any such third party processes, services, and/or products, you understand and agree that (i) we are not liable for any such content or activity, and (ii) you are engaging with such process, product, and/or service in accordance with the corresponding vendor’s terms of service, privacy policies, and similar guidelines.
2.5 Platform Usage Guidelines
Acceptable Use
Users that are non-Members, may use TheFlow only for personal, non-commercial enjoyment and discovery.
Users may not at any time in connection with TheFlow:
Download or copy content except through authorized features
Use automated tools to access or interact with the platform
Attempt to reverse engineer or hack our systems
Resell or redistribute content from our platform
Publicize personal identifiable information belong to another user without their consent (e.g., doxing)
Sell or transfer your account
Sell or monetize your engagement on the account (unless as a Member in accordance with the monetization features made available by the Cooperative to Members)
Send, knowingly receive, upload, download, use, or re-use any material that violates these Terms
Transmit, or procure the sending of, any advertising or promotional material including any “junk mail”, “chain letter”, “spam” or other similar solicitations
Impersonate any third party
Use TheFlow in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of TheFlow, including their ability to engage in real time activities through TheFlow
Use any robot, spider, or other automatic device, process, or means to access TheFlow for any purpose, including monitoring or copying any of the material on TheFlow
Use any manual process to monitor or copy any of the material on TheFlow, or for any other purpose not expressly authorized in these Terms, without our prior written consent
Use any device, software, or routine that interferes with the proper working of TheFlow
Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of TheFlow, the server on which TheFlow is stored, or any server, computer, or database connected to TheFlow
Attack TheFlow via a denial-of-service attack or a distributed denial-of-service attack
Otherwise attempt to interfere with the proper working of TheFlow
Use the platform for illegal activities
Data and Privacy
We collect certain information to provide our services and improve your experience:
Your listening history helps us recommend new music
Your preferences help us personalize your experience
We never sell your personal data to third parties
You can control many privacy settings in your account

2.6 Account Suspension and Termination
When Accounts May Be Restricted
We may limit, suspend, or terminate accounts for:
Violations of our Community Standards
Fraudulent activity or payment disputes
Abuse of platform features or other users
Legal requirements or safety concerns
Botting
Violations of these Terms
If we have any reasonable basis to do so
Your Rights
If your account is restricted:
You'll receive notice
You can appeal decisions through our support process
Paid subscriptions will expire at the end of the current subscription period
Voluntary Account Deletion
You can delete your account at any time through your settings. When you do:
Your personal data will be removed according to our Privacy Policy
Your public contributions (playlists, comments) may remain to preserve others' experience
Any active subscriptions will expire at the end of the current subscription period
This action cannot be undone
2.7 Platform Changes and Updates
Service Evolution
TheFlow continuously evolves to better serve our community:
We may add new features and capabilities
We may modify existing features based on user feedback
We endeavor to notify users of significant changes that affect their experience
Continued use of TheFlow constitutes acceptance of updates
Content Availability
Music availability may change due to:
Creators' decisions about their content
Licensing agreements and legal requirements
Technical issues or platform updates
Geographic restrictions based on rights agreements
TheFlow exists to connect fans with the Creators they care about. As a user, you're part of a community that values creativity, respect, and authentic connection between fans and Creators.
2.8 EULA Mobile Application License and In-App Purchases
License Grant
Subject to your compliance with these Terms, TheFlow grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the TheFlow mobile application ("App") on devices you own or control, solely for your personal use in connection with TheFlow's services.
The App is Licensed, Not Sold
TheFlow and its licensors retain all right, title, and interest in and to the App, including all intellectual property rights. This license does not grant you any ownership interest in the App.
Software Restrictions
In addition to the restrictions in Section 2.5, you agree not to:
Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent permitted by applicable law
Copy, modify, or create derivative works of the App
Remove, alter, or obscure any proprietary notices on the App
Updates
TheFlow may provide updates, patches, or new versions of the App. These updates may download and install automatically. Your continued use of the App following any update constitutes acceptance of such updates and this license applies to all updates.
In-App Purchases
The App offers in-app purchases ("IAPs"), which may include:
Platform subscriptions for unlimited streaming access
Creator Backstage Pass subscriptions
Individual track purchases and downloads
Other digital content or features as made available
Payment Processing for In-App Purchases
When you make a purchase through the App:
Payments are processed by the app store provider (Apple or Google) through your app store account
You agree to the app store's payment terms and conditions
Prices are displayed in your local currency and may include applicable taxes
All transactions are subject to the app store's payment policies
Subscription Auto-Renewal
Subscriptions purchased through the App automatically renew unless you cancel:
Your app store account will be charged for renewal within 24 hours prior to the end of the current subscription period
Subscription fees may change; we will provide notice of price changes, and your continued subscription after such notice constitutes acceptance
You can manage and cancel subscriptions through your device's app store settings (Apple App Store: Settings > Apple ID > Subscriptions; Google Play: Play Store > Menu > Subscriptions)
Cancellation takes effect at the end of the current billing period; you retain access until then
Refunds for In-App Purchases
Refund eligibility for purchases made through the App is determined by the app store provider's refund policies:
Apple App Store: Request refunds at reportaproblem.apple.com
Google Play: Request refunds through your Google Play order history TheFlow does not directly process refunds for app store purchases.

App Store Terms
If you downloaded the App from the Apple App Store or Google Play Store, you acknowledge that:
This agreement is between you and TheFlow only, not with Apple or Google
Apple and Google have no obligation to provide maintenance, support, or warranty for the App
In any conflict between this agreement and the app store's terms, this agreement governs your relationship with TheFlow
3. Platform Intellectual Property
As between users and the Cooperative (except for the content a Creator directly uploads as a Creator, to the extent a given user is a Creator), TheFlow and its entire contents, features, and functionality (including but not limited to all information, platform architecture, source code, design, trademarks, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) and associated brand identifiers are owned by the Cooperative, its licensors (which may include other Creators and users), or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. The Cooperative grants a limited, revocable, worldwide, non-commercial, right and license to you during the term of your subscription to use such intellectual property solely to the extent necessary to permit you engage with the features made available on TheFlow to users in accordance with these Terms, and subject to any limitations imposed by any Creator with respect to Creator-published content on their applicable Creator profile. For clarity, any features permitting you to download Creator music to your device may be revoked at any time by the Cooperative and/or the applicable Creator in our or their sole discretion. Provided, however, that in the event you purchase a download that a Creator makes available for sale on their Creator profile and communicates that you are purchasing it permanently, TheFlow will use best efforts to not revoke such license from you with respect to that purchase.

4. Dispute Resolution
We built our TheFlow as a platform founded on trust, fairness, and mutual respect. While we hope disagreements are rare, we aim to handle any disputes in a way that reflects our values and protects our ability to serve all creators effectively.
4.1 What This Covers
This section explains how we'll work together to resolve certain disputes relating to your relationship with TheFlow. This may include issues related to:
Payment and payout questions
Content licensing and copyright matters
Community Standards and content moderation
Account access or termination
Terms interpretation
Privacy and data handling
Our monetization programs and policies
Important Exceptions
Some matters stay in court where they belong:
Small claims court disputes
Legal disputes between users
Urgent requests for court orders (like stopping trademark infringement)
Your rights as a cooperative member under California law (voting, board elections, derivative actions)
Trademark, copyright, or trade secret enforcement, subject only to our DMCA procedures
Government regulatory matters
4.2 Our Three-Step Approach
We believe most issues can be resolved through honest conversation and good faith effort. Here's how we'll work through disagreements:
Step 1: Let's Talk Directly (60 Days)
Before taking any formal legal steps adverse to the Cooperative, you must first reach out to us at legal@theflow.com with a detailed explanation of your concern, provide us with sixty (60) calendar days to make progress towards a resolution with you, and meaningfully participate in conversations we setup to reach this goal. We're committed to working with you in good faith to find a fair solution.
Step 2: Neutral Mediation (30 Days)
If we can't resolve things via Step 1, we'll work together in mediation with a neutral third party that we both agree on. This gives us another chance to find common ground with professional help. Our goal is to confirm a neutral third party mediator within 30 days, even if the mediation itself does not occur until a later date. You and we will be required to participate in the mediation in good faith.
Step 3: Individual Arbitration
Only if Steps 1 and 2 don't work will we move to binding arbitration through the American Arbitration Association (AAA) or National Arbitration and Mediation (NAM), in accordance with the Rules of Arbitration of the applicable association applying California state law. Any arbitration must occur in the County of Santa Clara, California. In the event you initiate arbitration, we reserve the right to opt-out of arbitration and instead move the dispute to the state or federal courts in Santa Clara County, California. Both you and we agree to that jurisdiction and venue.
Note
This Section 4.2 is not intended to limit a Creators’ rights in disputes against the Cooperative as a member of the Cooperative, but does apply to all users including Creators with respect to their use of the Service.
4.3 Individual Resolution, Not Group Actions
To keep our dispute resolution process manageable and fair, all disagreements must be handled individually. So while our arbitration processes offer speedy and fair individual dispute resolution, they do not permit class action lawsuits, class-wide arbitrations, or other group proceedings. This means:
No class actions, class arbitrations, or group proceedings
No coordinated mass arbitrations (25+ similar claims filed together)
No seeking relief on behalf of other people or entities
You understand that by using TheFlow, you are waiving the right to initiate and/or participate in any class action, class arbitration, or other similar group proceeding.
5. Miscellaneous
5.1 Additional Disclaimers
You understand that we cannot and do not guarantee or warrant that files available for downloading from the internet or TheFlow will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data. TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THEFLOW OR ANY SERVICES OR ITEMS OBTAINED THROUGH THEFLOW OR YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.
YOUR USE OF THEFLOW, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THEFLOW IS AT YOUR OWN RISK. THEFLOW, ITS CONTENT, AND ANY SERVICES OR ITEMS OBTAINED THROUGH THEFLOW ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE COOPERATIVE NOR ANY PERSON ASSOCIATED WITH THE COOPERATIVE MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THEFLOW. WITHOUT LIMITING THE FOREGOING, NEITHER THE COOPERATIVE NOR ANYONE ASSOCIATED WITH THE COOPERATIVE REPRESENTS OR WARRANTS THAT THEFLOW, ITS CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THEFLOW WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT OUR SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THEFLOW OR ANY SERVICES OR ITEMS OBTAINED THROUGH THEFLOW WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
TO THE FULLEST EXTENT PROVIDED BY LAW, THE COOPERATIVE HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
You agree to indemnify and hold the Cooperative harmless from and against all damages, losses, and expenses of any kind (including reasonable attorneys' fees and costs) arising out of or related to: (1) your breach of any of these Terms (including any additional terms and conditions incorporated herein); (2) any content you post or otherwise contribute; (3) any activity in which you engage on or through TheFlow; and (4) your violation of any law or the rights of a third party.
5.2 Limitation of Liability
TO THE FULLEST EXTENT PROVIDED BY APPLICABLE LAW, IN NO EVENT WILL THE COOPERATIVE, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SERVICE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
In no event shall TheFlow's aggregate liability to you for all claims relating to the platform exceed the greater of (i) the amount you paid us in the twelve (12) months prior to the event giving rise to the claim, or (ii) five hundred dollars ($500).
5.3 Changes to These Terms
We may update these Terms from time to time to reflect changes in our services, policies, or legal requirements. If you do not agree to the new terms, you may stop using TheFlow and delete your account.
5.4 Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any legal proceeding related to these Terms or the use of the platform will take place in Santa Clara County, California, unless otherwise specified in our dispute resolution procedures.
We provide TheFlow for use only by persons located in the United States. We make no claims that TheFlow or any of its content is accessible or appropriate outside of the United States. Access to TheFLow may not be legal by certain persons or in certain countries. If you access TheFlow from outside the United States, you do so on your own initiative and are responsible for compliance with local laws
5.5 Entire Agreement
These Terms, along with our Community Standards, Privacy Policy, and any additional policies referenced herein, constitute the entire agreement between you and TheFlow with respect to your use of the platform. They supersede any prior agreements or communications, whether written or oral.
5.6 Severability and Waiver
If any part of these Terms is found to be unenforceable or invalid, the remaining portions will remain in full force and effect. Our failure to enforce any provision of these Terms shall not constitute a waiver of that or any other provision.

5.8 Platform Evolution
TheFlow is a growing platform. We may add new features, modify existing ones, or discontinue certain services as we evolve. We'll provide reasonable notice of significant changes that affect your use of the platform.
5.9 Third-Party Services
Our platform may integrate with or link to third-party services (like payment processors, social media platforms, or analytics tools). Creator Terms
We are a California cooperative corporation, meaning that California Cooperative Corporation Law governs our structure. In this Cooperative, users can become cooperative members, also referred to as “Creators”, by satisfying certain requirements, including paying a membership fee plus ongoing annual fees, as detailed further in these “Creator Terms.” These Creator Terms apply only to Creators. Creators remain subject to the Terms, as well.
1. Membership & Ownership
1.1 Why Becoming a Member/Owner Matters
How Business Dynamics Typically Work
For-profit corporations generally exist to make money for their owners. The owners make all the key decisions about how the company operates, what direction it takes, and how profits are distributed. For years, the majority of the traditional music industry has functioned as follows:
Platform owners are investors and shareholders, not artists
Decision-making power belongs to those owners, not the people using the platform
Financial success flows primarily to owners, with creators receiving what's left over
Artists are customers or users of services owned by others
We are Changing That
We are creating a mechanism by which it is easier for artists to become owners.
What Happens When Artists Become the Owners
TheFlow Cooperative membership makes you a part-owner of the Cooperative (we call our Cooperative members “Creators”). This fundamentally changes how the business dynamics work. As a Creator:
You own part of the company through your cooperative membership
You help make key decisions through democratic voting rights
Your success drives our success - we only make money when you make money, since our revenue is a percentage of yours
1.2 What Membership Gives Creators
Creative Control for Creators
TheFlow Cooperative membership makes you a part-owner of the Cooperative (we call our Cooperative members “Creators”). This fundamentally changes how the business dynamics work. As a Creator:
Irrevocable profile control - you always have complete control of your profile and content and no one can change that
Direct Licensing Model - you control your content and earn fairly from it
Access to many available tools and features - functionality and customizability
Participation in incentive programs like Grow TheFlow Fund and other Creator benefits
Data ownership – Creators own their audience analytics
Community standards developed with Creator input and oversight
Platform policies are accountable to the people they affect
Business Alignment
The Cooperative’s incentives match the Creators’ - we earn more only when you earn more
Revenue sharing model where platform growth benefits all Creators
Long-term thinking focused on Creator success, not quarterly profits
No outside investor pressure to maximize profits at artists’ expense
As Cooperative Members, Creators Receive Certain Ownership Rights:
Voting power in board elections and major platform decisions
Equal voice with every other Creator through one-member-one-vote governance
Governance participation in decisions that affect your livelihood and creative work
Protection from arbitrary changes through democratic oversight
1.3 Users vs. Member-Owners
Anyone Can be a User
You can listen to music, follow Creators, engage with content, and participate in our community without becoming a Creator. All users, including Creators, are subject to the Terms.
Creators are Member-Owners
To upload music, post content, and monetize on TheFlow, you must become a Creator (i.e., member-owner of the Cooperative).
1.4 Membership Requirements
To become a Creator (i.e., member-owner of the Cooperative), you must:
Meet Basic Eligibility:
Be at least 13 years old, or the minimum legal age in your country to use online services
If under 18, comply with any local laws that restrict or govern online activity
Accept our Terms of Service:

Abide by our Community Standards and cooperative values
Make Your Ownership Investment:
Pay the cooperative membership fee ($20 inaugural rate, will likely increase as we expand the platform features). Note that if you cancel your membership and later choose to resume membership, you may be required to pay an additional fee.
Pay the annual platform fee ($20.00/year) to maintain active membership
Understand that membership fees support shared infrastructure and community

1.6 Non-Transferable Membership
Membership is Personal and Non-Transferable
Your membership as a Creator represents your individual participation in our cooperative community. It cannot be:
Sold or assigned to another person
Inherited (except through the Cooperative’s succession process)
Controlled by managers, labels, or other representatives
Transferred as part of any business transaction
Why this Matters:
This ensures that voting rights and governance participation stay with actual Creators, not corporate entities or investment groups that could undermine our cooperative values.
1.7 Membership Termination
Protecting Our Community:
Membership may be suspended or terminated for serious violations of these Creator Terms, other platform policies or cooperative values, including:
Repeated violations of content guidelines or community standards
Fraudulent activity or intentional abuse of platform systems
Conduct that undermines the safety or integrity of our cooperative and its mission
Violation of the democratic governance principles or attempts to circumvent member rights
Fair Process:
Any membership termination follows our dispute resolution process with opportunity for appeal and member input where appropriate, in accordance with the Cooperative Bylaws.
Membership in TheFlow Cooperative isn't just about accessing a platform, it's about joining a movement to put Creators in control of their digital infrastructure. Together, we're proving that artists can own and govern the companies that serve them.
2. Direct Licensing Agreement - How It Works
When you upload content to TheFlow as a Creator, you're entering into a direct licensing relationship with us. This is different from traditional music platforms - instead of relying on third-party licensing organizations, you license your content directly to us, which allows for transparent revenue sharing and greater Creator control.
2.1 You Keep Full Ownership
As between each Creator and the Cooperative, the Creator retains full ownership of all their uploaded creative work - your music, recordings, artwork, and any other materials you upload. TheFlow never claims ownership of your content. This is your work, and it stays yours.
2.2 What Rights You Grant TheFlow
To operate our platform and serve your music to listeners, you grant TheFlow specific, limited rights to use your content. These rights including the following:
Streaming and Playback Rights - We can play your music for users through our platform, including in discovery feeds, playlists, radio-style features, live-streaming, offline-available playback, and other features the Cooperative chooses to release
Storage and Technical Rights - We can store, back up, and technically process your content (like audio compression) to deliver it effectively
Distribution Rights - We can make your content available globally through TheFlow's platform (including for purchase and retention in perpetuity if you choose to allow users to purchase your content)
Display Rights - We can show your metadata, artwork, and lyrics across the platform
Social and Creative Use Rights - Users can also include your full, unaltered tracks in videos, stories, and other user-generated content within TheFlow
2.3 Important Details & Limitations
These rights are:
Non-exclusive – You are still allowed license your music to other platforms and services
Revocable - You can remove your content anytime, ending the license (except if you have permitted users to purchase and download your content; those users are permitted to retain what they already purchased)
Platform-limited - We can only use your content within TheFlow, the Cooperative will not license it to anyone other than users engaging with TheFlow
Subject to your settings - You control how your content appears and what features are enabled
2.4 How the License Works
This is a direct license between you and TheFlow. By becoming a Creator, you are representing and warranting that you have the legal authority to grant these rights, whether as the original creator or through proper licensing agreements. If you upload content containing samples, covers, or collaborations, you're responsible for securing any necessary permissions.
Anything you upload or distribute to TheFlow is your “Creator Content.” You hereby grant to TheFlow a sublicensable (to users and third party channels on which we promote or market TheFlow), worldwide, license and right to exploit, perform, display, share, translate, modify, distribute, and otherwise use the Creator Content. This right is revocable and can be revoked by disabling the availability of your Creator Content (provided that it remains irrevocable with respect to any downloads sold by you to users, who shall be permitted to retain their purchased downloads; we also may retain copies for technical, legal, or safety purposes like backup systems or dispute resolution). The Creator Content exploited by the Cooperative is further subject to the revenue share arrangement detailed in Section 3 below, but is otherwise is licensed to the Cooperative on a royalty-free basis. To the extent we integrate Creator Content into any promotional, marketing, and/or archival content on third party channels, the license granted to the Cooperative shall be perpetual.
Note that users who previously downloaded or purchased copies of your content may continue to use copies they retained on TheFlow or off-platform. We do not proactively monitor such activity. But if you identify any ongoing use by users of content on TheFlow in violation of your license, such as when you stopped making your content available through your Creator page, and wish to have it removed, please follow the process in our DMCA & Copyright Policy.
2.5 Your Irrevocable Creator Control
Regardless of any business relationships you may have with managers, labels, or other parties, you maintain permanent, irrevocable control over your TheFlow profile and content. No external contract or agreement can override your right to access and control your Creator account.
Your permanent, non-transferable right: You have an irrevocable right to access and control your own Creator profile on TheFlow. This includes complete control over the music, content, and information you upload, as well as the earnings associated with your work in accordance with these Creator Terms.

What this Means:
No one else can control your account without your permission - not managers, labels, publishers, investors, or any third party
You cannot be locked out of your own creative work and profile as long as you are a Creator
You control your content - what gets uploaded, modified, or removed in accordance with these Creator Terms
You control your earnings – once payment has accrued, you control how and when you receive payment for your work
You control your brand - how you present yourself to fans and the community (subject to our Community Standards and Terms)
Our Legal Commitment to You:
We will not enforce or recognize any outside agreement that attempts to override your creator control rights. Your control of your Creator profile stays with you, regardless of any private contracts you may sign with managers, labels, or other business partners.
Limited Exceptions:
We will act against your account in very limited circumstances, including:
Legal Orders - If we are required by law to act, such as in response to a valid court order with proper jurisdiction, we will comply with legal requirements while protecting your interests to the fullest extent possible.
Death or Incapacity - If you pass away or become legally incapacitated, we may grant access to verified successors following our comprehensive succession process
Creator Terms & Terms Violations
No Commercial Exceptions:
We will never transfer control of your account for commercial, contractual, or convenience-based reasons. Your creative control is not subject to negotiation or business pressure. This means that you are not allowed to “sell” your account to a third party!
2.6 Platform Intellectual Property
As between you and the Cooperative, except for the content you directly upload as a Creator, TheFlow and its entire contents, features, and functionality (including but not limited to all information, platform architecture, source code, design, trademarks, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) and associated brand identifiers are owned by the Cooperative, its licensors (which may include other Creators and users), or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. The Cooperative grants a limited, revocable, worldwide right and license to you to use such intellectual property solely to permit you to share your Creator Content on TheFlow in accordance with these Creator Terms; this right is subject to your payment of any fees associated with Creator membership and the revenue-sharing terms in Section 3.
2.7 Feedback and Suggestions
If you provide ideas, suggestions, or other feedback to TheFlow, you agree that it may be used by us without limitation, in perpetuity, and without obligation to compensate you. This feedback is considered non-confidential and irrevocable.
2.8 Account Succession
If a creator passes away or becomes incapacitated, family members or legal representatives can contact us at legal@theflow.com with appropriate documentation (death certificate, legal authorization, proof of relationship). We'll work with verified successors to transfer account access and ensure revenue continues flowing to the appropriate parties. Each situation is handled individually based on applicable law and the specific circumstances.
3. How You Get Paid
As a Creator on TheFlow, you can earn money in several ways while keeping most of your revenue. Here's exactly how our payment system works and what you'll receive.
3.1 How You Can Earn
Streaming Royalties - "Paid Attention" Model
TheFlow uses a revolutionary "paid attention" streaming model that's fundamentally different from traditional platforms. Instead of pooling all subscription money and dividing it based on total platform plays, your earnings come directly from the subscribers (paying users with subscriptions) who actually listen to your music.
How it Works:
Each subscriber's monthly subscription fee is shared as stated in Section 3, but the portion due to Creators goes only to the Creators they actually listened to
Your share is based on how much time each subscriber spent listening to your music as compared to other Creators’ music
If a fan listens to only your music all month, you receive the entire portion due to Creators
Subscribers can see exactly how much of their money goes to each Creator they listen to
This means dedicated fans directly support the Creators they love, not just the most popular artists globally
Why this Matters:
Your most engaged fans contribute more to your earnings
You're not competing for a share of a giant pool dominated by mega-hits
Niche Creators with dedicated audiences can earn more than on traditional platforms
The more time fans spend with your music, the more you earn from their subscription
Complete transparency - both Creators and fans see exactly where the money goes
Backstage Pass Subscriptions
Fans can subscribe to you directly for exclusive content and ongoing support. You set the price and decide what to offer (subject to a minimum of $3/month).
Digital Downloads
Sell your music directly to fans as high-quality digital files. You control pricing for whatever you want at or above the minimum of $1.50/track).
Grow TheFlow Fund Year-End Bonus
This community-building program rewards Creators who help grow our platform and can provide significant year-end income:
How Grow TheFlow works:
10% of each sale on TheFlow automatically gets invested in the Grow TheFlow fund
During a year, any Creator who successfully refers 10 or more artists that become Creators who share their music Creator Content on their Creator page, will receive their Grow TheFlow investment back at the end of the year
Creators who make such successful referrals in excess of 10 in a year will receive a pro rata portion of the leftover funds, distributed between applicable members based on the number of excess referrals
The Cooperative never keeps any of the fund for itself, all money goes to this bonus program
Annual payouts are sent out at end of the fiscal year in December

Break-even is simple - just sign 10 artists to recoup your investment

Payment Processing:
All payments are processed through our secure external payment system (Stripe/Trolley), not through platform-specific in-app purchases. This complies with current app store guidelines and allows us to maximize Creators’ take-home pay. Further, all payment are subject to Stripe and Trolley’s terms and conditions and privacy policies; please visit their individual websites (Stripe and Trolley) to locate their applicable terms and privacy policies and read the terms carefully at the time of purchase.
3.2 Revenue Deductions
Here's the complete breakdown of revenue and earnings. Each purchase made on TheFlow is split as follows:
TheFlow Platform Fee: 20% Covers platform operations, staff wages, Creator support, technology development, community features, and other features determined by the Cooperative.
Payment Processing: 2.9% + $0.30 per transaction Third-party fees for secure payment handling. This goes directly to the payment processor.
Grow TheFlow Fund: 10% Community investment program detailed above. If you refer 10+ new artist members, you get this back plus bonuses at year-end.
Display Rights - We can show your metadata, artwork, and lyrics across the platform
Social and Creative Use Rights - Users can also include your full, unaltered tracks in videos, stories, and other user-generated content within TheFlow
3.3 What You Keep
Your Take-Home: 67.1% to 77%+ of gross revenue
Minimum: 67.1% if you don't participate in the Grow TheFlow Fund bonus

This is why bringing all of your fans, especially your biggest fans to TheFlow will have a huge impact on your success. You control your destiny now. A subscriber who listens to you 80% of the time contributes $6.13 to your monthly income, while someone who listens 10% contributes $0.77. You don’t need everyone on TheFlow, just your own people.

You're responsible for maintaining an account in good standing with our payment processor and ensuring compliance with all tax and identity verification requirements they may have.
Fraud Prevention and Compliance
We may hold or delay payouts when necessary for legal compliance, fraud prevention, or content violations. This includes situations where content may violate our Terms of Service, applicable law, or where we detect fraudulent activity, DMCA violations, or other platform misuse. We reserve the right to recover funds related to confirmed violations.
Tax Responsibilities
You handle all tax reporting and payments on your earnings. Where required by law, our payment processor may issue tax forms (like 1099s) or submit information to local tax authorities. We recommend consulting with a tax professional about your specific obligations. You represent and warrant to us that you will be responsible for any and all tax liabilities related to income received by you in connection with TheFlow. We are not responsible for any withholdings or deductions related to your income.
3.6 No Hidden Fees
What we don't Charge Creators:
No account setup fees beyond the initial cooperative membership fee (unless you choose to subscribe to the rest of our catalog or purchase other Creators’ content)
No withdrawal fees charged by TheFlow for standard payouts
No hidden fees for uploading content
No additional hidden fees for using creator tools
No fees for social features or community participation
4. What You Can Upload
To share and monetize content on TheFlow, your uploads must comply with our Terms and Community Standards. These requirements protect our community, respect intellectual property rights, and ensure our platform celebrates authentic human creativity.
4.1 You Must Own or Control the Rights
When you upload content, you're legally representing and warranting to us that you have the legal right to share and monetize it on TheFlow in accordance with these Creator Terms. This means:
For Original Content
You created the music, recording, artwork, or other materials yourself
You own both the master recording and publishing rights
No one else has exclusive rights or other rights that would prevent you from using the content or sharing it on the platform
For Collaborative Content
You have written permission from all collaborators and contributors to exploit the content on TheFlow
Everyone involved has agreed to the content being on TheFlow
All contributors understand the revenue-sharing arrangement
For Content Using Samples, Covers, or Interpolations
You've secured all necessary licenses and clearances
You have permission to use any borrowed elements
You've credited all original creators appropriately
What You Cannot Upload
Content you don't have rights to monetize or share
Unauthorized use of others’ work
Samples/covers/interpolations without proper licenses
Content where you've misrepresented your role or ownership
Material that violates exclusive contracts you may have elsewhere
4.2 Copyright Detection and Flagged Content Workflow
Flagged Content Status
We reserve the rights to scan audio uploads using industry-standard copyright detection systems, such as Audible Magic or any others chosen by us in our sole discretion, and thus by uploading Creator Content you understand and agree that certain copyright detection software or other third party vendor products may be used by us to reduce the distribution of copyright infringing content on our platform. We do not promise or guarantee to identify and/or eliminate infringing content ourselves. If your content is flagged as a potential match to copyrighted material, it will remain in “draft” status and will not be publicly available until the issue is resolved.
Your Options When Content Is Flagged
If your content is flagged by our processes for copyright infringement, you may choose one of the following actions:
Edit Metadata: You may correct or update non-audio information, where applicable, such as: • Track title • Album name • Cover art • Genre • ISRC/UPC codes (Note: Audio files cannot be changed in this step.)
Replace Audio: You may upload a new audio file. The new file will be scanned again, and if it is flagged, you will need to repeat this process.
Certify Ownership: If you believe the flag is incorrect and you have the necessary rights, you may certify ownership and proceed. Certification requires accepting the legal terms below.
Self-Attestation and Legal Certification
By certifying ownership, you make a legally binding declaration that:
You own or control all rights to the content OR have explicit written permission from ALL rights holders (including both master recording and publishing rights holders) to upload and monetize it on TheFlow
You understand that TheFlow will: • Maintain a record of your certification, including your IP address and timestamp. • Send a notice of your certification to our compliance team and/or rights holder databases for transparency
You acknowledge that knowingly providing false information is a material breach of these Terms and may result in: • Permanent account termination • Forfeiture of earnings • Legal action, including statutory damages, to the fullest extent permitted by law.
Compliance and Logging
To meet DMCA safe harbor obligations and maintain platform integrity:
All actions taken on flagged content, including metadata edits, audio replacements, and certifications, will be logged with associated data
TheFlow may notify rights holders when you certify ownership, though this does not prevent future takedown requests

Summary:
Any flagged tracks cannot go live until one of the above actions is completed. Attempting to bypass this process or repeatedly misrepresenting ownership will result in enforcement action as outlined in these Terms.
4.3 Human Authorship Requirement
TheFlow celebrates authentic human creativity. All monetized content must demonstrate substantial human authorship - meaning you are the primary creative force behind the work's artistic vision and execution.
Why This Matters
AI-generated music can only achieve mediocrity by averaging existing patterns. We're building a platform for music that moves people, takes creative risks, and carries the full spectrum of human experience that only authentic creativity can provide.
What Qualifies as Human Authorship
You make the creative decisions that define the artistic direction and emotional impact
Your personal experience and perspective shape the content
Human performance or creation forms the foundation of the work
You bring intentionality to choices that AI cannot understand or replicate
The work reflects your unique voice rather than algorithmic averages
4.4 Acceptable AI Assistance
We embrace AI when it amplifies human creativity:
Production and Technical Tools
AI-assisted mixing, mastering, or audio enhancement that brings out the best in your human performances
Automatic timing correction or pitch adjustment that polishes your recorded content
Audio restoration tools that help you achieve your artistic vision
Example: "I recorded my vocals and guitar, then used AI mastering to enhance the final mix and bring out the clarity in my performance."
Workflow Enhancement
AI tools that handle tedious technical tasks so you can focus on creative expression
Automated editing that speeds up your creative process
Organization and cataloging tools that help manage your creative work
Example: "I used AI to automatically edit out background noise from my recording session, allowing me to focus on the creative performance rather than technical cleanup."
Creative Inspiration and Starting Points
AI-generated chord progressions or rhythmic patterns that you transform into something uniquely yours
Melody or harmonic suggestions that spark your own creative development
Brainstorming tools that help you explore new directions for your human creativity
Example: "AI suggested a basic chord progression in C major. I took that as inspiration, changed it to a minor key, added my own melody and lyrics about my personal experiences, and recorded it with my own performance style."
The Key Difference
These tools serve your creative vision rather than replacing it. You remain the artist making meaningful creative choices.
4.5 Prohibited AI Usage
AI-generated content that lacks human depth:
Fully AI-generated music created without meaningful human creative input
Prompt-only creation where your contribution is limited to writing AI prompts
Voice cloning of yourself or others without substantial additional human performance
Complete AI compositions that you don't significantly modify or personalize
Minimal editing of AI-generated content (simple tempo changes, basic edits)
Why These don't Work
This type of content fundamentally lacks what we're building toward: music that carries human experience, takes creative risks, and connects with listeners on an emotional level that only authentic human expression can achieve.

Acceptable: "I used AI to automatically remove background noise and organize my recording files, which saved me hours of technical work so I could focus on writing and performing my music."
Not Acceptable: "I had AI write and arrange the entire song structure while I only provided minimal input on the overall direction."
4.6 Content Verification and AI Detection
Upload Process:
When uploading content, you certify that:
You are the primary creative author of the work
Any AI assistance was limited to acceptable uses outlined above
You own or control all rights necessary for monetization
We also use IRCAM Amplify for automated detection of AI-generated content. Tracks flagged by this system are automatically removed from monetization eligibility until you provide documentation of your human creative process. All final decisions are determined in our good faith, reasonable discretion.
What We Look For:
Patterns consistent with fully AI-generated audio
Metadata and upload patterns suggesting automated content creation
If Your Content is Flagged:
Your content is unable to be published and/or will be removed
You'll receive a notification explaining the flag
Appeals:
You can provide documentation of your human creative process through our appeal system
Upon successful appeal with adequate documentation, your content can be restored to monetization eligibility
False flags with proper documentation are restored with no penalty to your account
4.7 Documentation and Appeals for Work Flagged as AI
Be Prepared to Show Your Work
While not required for every upload, you should be able to provide evidence of human authorship if requested:
Original recordings of human performances used in the track
Written descriptions of your creative choices and artistic direction including documentation of modifications made to AI-generated elements
Work-in-progress files showing your creative process

If your content is incorrectly flagged:
Submit an appeal through legal@theflow.com
Include files and documentation of your human creative process
Explain how you used any AI tools in your workflow
We will respond within one week with our approval or rejection of your appeal
4.8 Identity and Authenticity
Authentic Representation
Use accurate names, images, and branding. Stage names and artist personas are fine, but you cannot:
Impersonate another artist or real person
Falsely claim association with someone else's work
Use misleading branding designed to confuse users
Misrepresent your role in collaborative works
4.9 Platform Integrity
Prohibited Activities
Artificially inflating engagement, streams, or follower counts
Using multiple accounts to manipulate systems or violate limits
Coordinating with others to game algorithms or revenue systems
Circumventing platform safeguards for unfair advantage
4.10 Consequences for Violations
Progressive Enforcement
First violation: Content removal with educational guidance
Multiple violations: Temporary suspension of monetization privileges
Intentional misrepresentation: Permanent loss of monetization access

4.11 Non-Monetized AI Content
Social Posts and Stories
AI-generated content is welcome in non-monetized areas of the platform with proper disclosure:
Must be clearly labeled as AI-generated
Cannot be included in monetization programs
Cannot include any infringing content
Subject to community standards for harmful or misleading content
Encouraged for creative experimentation and fun
4.12 Policy Updates
These Creator Terms may be updated at any time in the Cooperative’s discretion. Creators will be notified in accordance with the notices stated in our Terms of any updates. Major, material changes to these Creator Terms will typically be managed through a democratic process in the Cooperative in accordance with the Cooperative Bylaws.
